Terms of Service

1. Agreement to Terms

By accessing or using LocalJSONs (the "Service"), you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and LocalJSONs ("we," "us," or "our"), operating from Lisbon, Portugal.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to:

Keep your password secure and confidential Notify us immediately of any unauthorized access to or use of your account Be responsible for all activities that occur under your account Not share your account credentials with any third party Use a strong, unique password for your account

3.3 Account Responsibility

You are solely responsible for all activity that occurs under your account, whether or not you authorized such activity. We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

4. Service Description

LocalJSONs provides a cloud-based localization and translation management platform that enables users to manage, translate, and deploy multilingual content for their applications and websites.

4.1 Service Availability

We strive to provide reliable and continuous access to the Service. However, we do not guarantee that the Service will be available at all times or that it will be uninterrupted, timely, secure, or error-free. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

4.2 Service Modifications

We reserve the right to modify, update, or change the features, functionality, or appearance of the Service at any time without prior notice. We may also add new features, remove existing features, or change pricing for new features. Your continued use of the Service after any such changes constitutes your acceptance of the new features or modifications.

5. Subscription Plans and Pricing

5.1 Free Tier

LocalJSONs offers a free tier with the following limitations:

Maximum of 500 source keys 1 project limit Limited task functionality

The free tier does not require payment information and may be used indefinitely, subject to these Terms and our Acceptable Use Policy.

5.2 Paid Plans

Paid subscription plans are available on a monthly or annual billing cycle, as selected by you during the subscription process. Pricing for paid plans is displayed on our website and may be changed at any time. Any price changes will apply to subsequent billing cycles and will be communicated to you in advance. 5.3 Billing and Payment

Payment for paid plans is due in advance for each billing cycle You authorize us to charge your selected payment method at the beginning of each billing cycle All fees are non-refundable except as expressly stated in these Terms You are responsible for providing accurate and current payment information If payment fails, we may suspend or terminate your access to paid features

5.4 No Refunds

All payments are final and non-refundable. We do not provide refunds or credits for partial months or years of service, prepaid periods, unused features, or any other circumstances. If you cancel your subscription, you will continue to have access to paid features until the end of your current billing period, after which your account will be downgraded to the free tier (subject to free tier limitations).

5.5 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing cycle unless you cancel your subscription before the renewal date. You may cancel your subscription at any time through your account settings or by contacting support@localjsons.com.

5.6 Taxes

All fees are exclusive of applicable taxes, duties, or similar governmental assessments, including value-added tax (VAT), sales tax, use tax, or withholding tax. You are responsible for paying all such taxes associated with your use of the Service, except for taxes based on our net income.

6. Acceptable Use Policy

6.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service in a professional and responsible manner.

6.2 Prohibited Activities

You agree not to:

Violate any applicable laws, regulations, or third-party rights Use the Service to transmit any harmful, illegal, or offensive content Attempt to gain unauthorized access to any part of the Service, other users' accounts, or our systems Interfere with or disrupt the integrity or performance of the Service Use any automated means (including bots, scrapers, or scripts) to access the Service without our express written permission Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service Remove, obscure, or alter any proprietary notices on the Service Use the Service to compete with us or to build a competitive product Resell, sublicense, or redistribute the Service without our written consent Upload or transmit viruses, malware, or any other malicious code Harass, abuse, threaten, or intimidate other users Impersonate any person or entity or misrepresent your affiliation with any person or entity Collect or store personal data about other users without their consent Use the Service in any way that could damage our reputation or the reputation of the Service Engage in any activity that places an unreasonable burden on our infrastructure

6.3 Enforcement

We reserve the right to investigate and take appropriate action against anyone who violates this Acceptable Use Policy, including removing or disabling content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

7. Intellectual Property Rights

7.1 Service Ownership

The Service, including all software, code, designs, graphics, text, functionality, and other materials, is owned by LocalJSONs and is protected by Portuguese, European Union, and international copyright, trademark, patent, trade secret, and other intellectual property laws. All rights not expressly granted to you in these Terms are reserved by us.

7.2 License to Use Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes. This license does not include any right to:

Modify, copy, or create derivative works of the Service Distribute, sell, lease, or sublicense the Service Reverse engineer or attempt to extract the source code of the Service

7.3 User Content Ownership

You retain all ownership rights to the content you upload to the Service, including translations, strings, keys, and any other data ("User Content"). By uploading User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, reproduce, and display your User Content solely for the purpose of providing and improving the Service.

7.4 User Content Responsibilities

You are solely responsible for your User Content and the consequences of uploading it to the Service. You represent and warrant that:

You own or have the necessary rights to your User Content Your User Content does not violate any third-party rights, including intellectual property rights Your User Content complies with these Terms and all applicable laws

7.5 Trademarks

LocalJSONs, the LocalJSONs logo, and any other product or service names, logos, or slogans displayed on the Service are trademarks of LocalJSONs and may not be used without our prior written permission. All other trademarks, service marks, and trade names are the property of their respective owners.

7.6 Feedback

If you provide us with any feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.

8. Data and Privacy

8.1 Data Ownership

You retain full ownership of all translation data, content, and materials you upload to the Service. We do not claim any ownership rights over your data.

8.2 Data Export

You may export your data at any time through the Service's export functionality. We provide tools to allow you to download your translations, keys, and project data in standard formats.

8.3 Data Processing

We process your data solely for the purpose of providing the Service to you. Our collection, use, and processing of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8.4 Data Security

We implement reasonable security measures to protect your data from unauthorized access, disclosure, alteration, or destruction. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

8.5 Data Retention After Termination

If you are on a paid plan and terminate your account, we will retain your data for 30 days after termination, during which time you may contact us to restore your account. After 30 days, your data will be permanently deleted from our systems, except as required by law or as necessary to enforce these Terms. For free tier accounts, we may delete your data immediately upon termination or after a period of inactivity at our discretion.

8.6 Data Backup

While we perform regular backups of our systems, you are responsible for maintaining your own backups of your User Content. We are not liable for any loss or corruption of your data.

9. Third-Party Services

The Service may integrate with or contain links to third-party websites, services, or resources. We do not control, endorse, or assume any responsibility for any third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those services. We are not liable for any damage or loss caused by or in connection with your use of any third-party services.

10. Disclaimers and Warranties

10.1 Service "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

10.2 No Warranty of Availability

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

10.3 No Warranty of Results

WE DO NOT WARRANT OR GUARANTEE ANY SPECIFIC RESULTS FROM THE USE OF THE SERVICE. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

10.4 Third-Party Content

WE ARE NOT RESPONSIBLE FOR ANY CONTENT PROVIDED BY THIRD PARTIES, INCLUDING TRANSLATIONS, INTEGRATIONS, OR OTHER USER CONTENT.

11. Limitation of Liability

11.1 Exclusion of Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LOCALJSONS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

YOUR USE OR INABILITY TO USE THE SERVICE ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE ANY BUGS, VIRUSES, OR OTHER HARMFUL CODE TRANSMITTED TO OR THROUGH THE SERVICE ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICE ANY OTHER MATTER RELATING TO THE SERVICE

11.2 Liability Cap

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) €100.

11.3 Basis of the Bargain

YOU ACKNOWLEDGE AND AGREE THAT THE DISCLAIMERS, EXCLUSIONS, AND LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION FORM AN ESSENTIAL BASIS OF THE AGREEMENT BETWEEN YOU AND LOCALJSONS, AND THAT LOCALJSONS WOULD NOT PROVIDE THE SERVICE WITHOUT SUCH LIMITATIONS.

11.4 Applicable Law

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to indemnify, defend, and hold harmless LocalJSONs, its affiliates, and their respective directors, officers, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

Your use of the Service Your violation of these Terms Your violation of any rights of another party, including other users Your User Content Your violation of any applicable laws or regulations

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.

13. Term and Termination

13.1 Term

These Terms commence on the date you first access or use the Service and continue until terminated in accordance with this Section.

13.2 Termination by You

You may terminate your account at any time by:

Upon termination by you:

Your access to paid features will continue until the end of your current billing period No refunds will be provided for any remaining time in your billing period Your account will be downgraded to the free tier (subject to free tier limitations) or deleted as per your request

13.3 Termination by Us

We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

Breach of these Terms Violation of our Acceptable Use Policy Fraudulent, abusive, or illegal activity Non-payment of fees Extended periods of inactivity Upon your request If we cease operations or discontinue the Service

13.4 Effect of Termination

Upon termination of your account:

Your right to access and use the Service will immediately cease We may delete your User Content after the data retention period specified in Section 8.5 Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability You remain liable for all fees incurred prior to termination

13.5 No Liability for Termination

WE SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY TERMINATION OF YOUR ACCESS TO THE SERVICE.

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law provisions.

14.2 Jurisdiction

You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Lisbon, Portugal. You waive any objection to venue in such courts and any claim that such courts are an inconvenient forum.

14.3 Informal Resolution

Before filing any formal legal action, you agree to first contact us at support@localjsons.com to attempt to resolve any dispute informally. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or LocalJSONs may bring a formal proceeding.

14.4 Waiver of Class Actions

TO THE EXTENT PERMITTED BY LAW, YOU AND LOCALJSONS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14.5 Time Limitation

Any claim or cause of action arising out of or related to the Service or these Terms must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred, notwithstanding any statute of limitations or other law to the contrary.

15. General Provisions

15.1 Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.

15.2 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published by us on the Service, constitute the entire agreement between you and LocalJSONs regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

15.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be deemed modified to the extent necessary to make it valid, legal, and enforceable while preserving its intent to the greatest extent possible.

15.4 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.5 Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. We may assign, transfer, or delegate these Terms and our rights and obligations without restriction. Any attempted assignment in violation of this Section shall be void.

15.6 Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between you and LocalJSONs. You have no authority to bind LocalJSONs in any way.

15.7 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, labor disputes, pandemics, government actions, Internet service failures, or natural disasters.

15.8 Headings

The section and paragraph headings in these Terms are for convenience only and shall not affect their interpretation.

15.9 Language

These Terms may be translated into other languages for your convenience. In the event of any conflict between the English version and any translation, the English version shall prevail.

15.10 Export Control

You agree to comply with all applicable export and re-export control laws and regulations, including the export control laws of the European Union and Portugal. You represent that you are not located in a country that is subject to a government embargo or that has been designated as a "terrorist supporting" country, and that you are not listed on any government list of prohibited or restricted parties.

15.11 Government Users

If you are a government entity or agency, the Service is a "commercial item" as defined in applicable regulations, and your use of the Service is subject to these Terms.

15.12 Electronic Communications

By using the Service, you consent to receive electronic communications from us, including emails, notifications, and messages posted on the Service. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
